RegSub™ On-Line Subscription Form
Please read the Software & Data License Agreement (Agreement). By filling out the form at
the bottom of the Agreement you are affirming that you have read the Agreement and agree
to be legally bound by the terms of the Agreement. If you do not agree to the terms of
this Agreement, exit and do not CLICK to "Submit the Agreement".
You may select to either sign-up for the RegSub™ On-Line Subscription Service or the
14-day FREE RegSub™ Trial. (Not all options are available in the FREE RegSub™ Trial.)
After submitting the complete form, you will be contacted by Customer Service. Customer
Service will provide you with the URL, UserName and Password that you will need to use
to access the RegSub™ on the World Wide Web.

RegSub™ SOFTWARE & DATA LICENSE AGREEMENT
This Software & Data License Agreement (Agreement) is a legal agreement between
you, the Licensee (an individual), and Logical Technology, Inc., the Licensor as
defined below. By completing and submitting the form at the bottom of the Agreement,
you agree to be bound by the terms of this Agreement.
1.0 Definitions.
1.1 Software Product includes the Regulated Substance Database Module (RegSub) of
HAZMIN®, (which includes all of Licensor's programming code and database design on
the Licensor's server and Licensor's programming code downloaded to the Licensee's
computer), which makes the Data available to the Licensee, as well as print or
electronic documentation, provided by Licensor to Licensee, but not Data, itself.
1.2 Data is all data provided by the Licensor to the Licensee, which includes, but
is not limited to the data in Licensor's Regulated Substance Database™, or its
successor, and is further identified in Section 6.1.
1.3 Subscription Period is either the no-charge fourteen-day trial usage of the
Software Product and Data, or the date range for which the Licensee has paid the
Annual
RegSub™ Subscription Fee.
1.4 Licensee is the individual who completes and submits the form at the bottom of the
Agreement on the www.comply1.com web site.
1.5 Licensor is Logical Technology, Inc., an Illinois Corporation, 6907 N. Knoxville
Ave., Peoria, Illinois 61614.
2.0 Grants.
2.1 The License is limited to the Licensee.
2.2 Licensor grants to Licensee a limited, non-exclusive, non-transferable, License to
access the Software Product and Data over the Internet at the Licensor's web site during
the Subscription Period and Licensee accepts this License upon the terms and conditions
set forth herein.
2.3 This License shall commence upon the initial log in to the Software Product by the
Licensee.
2.4 Licensee's use of the Data is limited to evaluating the hazards and regulatory
impact of chemical names included in the Data. Licensee may create reports, verbal
and written, which utilize the Data, as long as that use does not exceed "fair use" as
defined in United States copyright laws and regulations.
3.0 Fees.
3.1 Licensor will promptly pay the Annual RegSub™ Subscription Fee at the beginning of
the Subscription Period to utilize the Software Product and Data.
4.0 Ownership; Copyright; Restrictions.
4.1 The Licensor is the sole and exclusive owner of the Software Product and Data, except
as expressly stated within this Agreement. The Software Product and Data are copyrighted
work by Licensor under the United States copyright laws and are subject to all the rights
and obligations created by United States copyright laws, international copyright conventions
and other applicable State or Federal laws. This License is NOT a sale of the Software
Product or Data. The Licensor shall at all times retain ownership of the Software Product
and Data.
4.2 Licensee may not loan, rent, sell, lease or distribute the Data or subset of the Data.
Licensee may not reverse engineer, decompile, disassemble or create derivative works from
the Software Product or Data. Derivative works would include, but not be limited to,
incorporating the Data or subset of the Data into other software programs. Licensee
shall not use, disclose or publish the Data or subset of the Data, except as authorized
in Section 2.0 Grants, above, and shall prevent any unauthorized use, disclosure or
publication of Data or subset of the Data.
4.3 The Licensee may NOT transfer this License to anyone without the prior written consent
of Licensor, except by operation of Law or pursuant to the sale of all or substantially
all of Licensee's business.
4.4 The Licensee acknowledges Licensor's representation that the Software Product and
Data and their documentation were developed at private expense and no part of them is
in the public domain. The Licensee acknowledges Licensor's representation that the
Software Product is "Commercial Computer Software" as that term is defined in Subpart
52.227-7013 of the Department of Defense Federal Acquisition Regulation Supplement
(DFARS).Restricted Rights Legend. Use, duplication, or disclosure by the Government
is subject to restrictions as set forth in subparagraph (c) (1) (ii) of the Rights in
Technical Data and Computer Software clause at DFARS 252.227-7013.
4.5 Licensor informs Licensee that the Data contains information from the following
separately copyrighted sources and is included by arrangement with: (A) American
Conference of Governmental Industrial Hygienists (ACGIH), 6500 Glenway Ave., Bldg.
D-7, Cincinnati, OH 45211, "Threshold Limit Value and Biological Exposure Indices"
(B) National Fire Protection Association, Quincy, MA 02269, "Fire Hazard Properties
of Flammable Liquids, Gases and Volatile Solids".
5.0 Termination.
5.1 The License is effective until terminated by Licensor. Licensor reserves the right
to terminate this License if Licensee fails to comply with terms and conditions herein.
5.2 Sections 4, 6, and 8 shall survive termination of this License.
6.0 LIMITED WARRANTY; LIMITATION ON LIABILITY.
6.1 The Data contains a compilation of information from selected U.S. Government,
international, state and other sources. Licensor has taken steps to ensure the accuracy
of Data; however, Licensee recognizes that the nature and scope of the Data are such that
errors of fact, omission, and judgment cannot be completely excluded. Licensor
expressly disclaims any liability for all errors. THE DATA SHOULD NOT BE USED AS THE
SOLE DETERMINATION OF REGULATORY REQUIREMENTS FOR A CHEMICAL OR CHEMICAL HAZARDS.
6.2 During the Subscription Period, Licensor warrants that (a) the Software Product will
perform substantially in accordance with its documentation, and (b) the Data will
substantially represent the information in the sources given in the documentation.
Licensee's remedy under this Limited Warranty is that Licensor will undertake to correct
within a reasonable period of time any reported errors (failure of the Software Product
to perform substantially the functions described in the documentation or mistakes in the
documentation), and Data errors (failure of Data to substantially represent the information
in the sources' documentation).
6.3 Licensor does NOT warrant that the Software Product or Data will meet Licensee's
requirements, that either will be error free, that all errors will be corrected, or that
the operation of the Software Product or Data will be uninterrupted.
6.4 LICENSOR DISCLAIMS ANY AND ALL WARRANTIES RESPECTING THE USE (OR RESULTS OF SUCH USE)
OR MISUSE OF THE SOFTWARE PRODUCT, DATA, AND/OR MSDS INFORMATION, AND MAKES NO IMPLIED
WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. REGARDLESS OF WHETHER
ANY REMEDY SET FORTH HEREIN FAILS OF ITS ESSENTIAL PURPOSE, IN NO EVENT SHALL LICENSOR BE
LIABLE FOR ANY SPECIAL, INDIRECT, EXEMPLARY, INCIDENTAL, OR CONSEQUENTIAL DAMAGES ARISING
OUT OF OR OTHERWISE RELATING TO USE, MISUSE, PERFORMANCE OF THE SOFTWARE PRODUCT, DATA OR
MSDS INFORMATION, WHERE PROVIDED, BREACH OF WARRANTY, BREACH OF CONTRACT, NEGLIGENCE OR
ANY OTHER LEGAL THEORY, HOWEVER CAUSED, EVEN IF LICENSOR HAS BEEN ADVISED OF THE
POSSIBILITY OR LIKELIHOOD OF SUCH DAMAGES. THE CUMULATIVE LIABILITY OF THE LICENSOR
WHETHER IN CONTRACT, IN TORT (INCLUDING NEGLIGENCE AND STRICT LIABILITY) OR OTHERWISE
SHALL BE LIMITED TO THE LICENSE FEES PAID BY LICENSEE TO LICENSOR.
6.5 ADDITIONAL STATEMENTS SUCH AS ADVERTISING OR PRESENTATIONS, WHETHER ORAL OR WRITTEN,
DO NOT CONSTITUTE WARRANTIES BY LICENSOR AND SHOULD NOT BE RELIED UPON.
7.0 Maintenance and Support.
7.1 During the Subscription Period, Licensor will provide free phone support during
normal business hours.
8.0 General Conditions.
8.1 The validity and performance of this License shall be governed by the laws of
the State of Illinois, except as to copyright and trademark matters which are covered
by United States laws and International treaties, and the License Agreement's proper
venue shall be in Peoria County, Illinois. If any provision of this License shall be
held by a court of competent jurisdiction to be contrary to law, the remaining provisions
of this License shall remain in full force and effect. The failure of the Licensor to
enforce any of the provisions hereof shall not be construed to be a waiver of the right
of Licensor thereafter to enforce any such provisions. Headings included in this License
are for convenience only and are not to be used to interpret the License. Licensor
reserves any right not expressly granted to Licensee. Time is of the essence.
